These Terms of Service (“Terms”) govern your access to and use of the Vesma website, application, and services (the “Service”). The Service is provided by Vesma, a sole proprietorship based in India (“Vesma”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Vesma is an AI-assisted platform that helps businesses respond to, qualify, follow up with, and manage their leads across messaging channels such as WhatsApp, including a dashboard, CRM, knowledge base, and analytics. Features and plans may change over time.

2. Accounts & eligibility

  • You must be at least 18 and able to enter a binding contract.
  • You are responsible for your account credentials and all activity under your account.
  • You must provide accurate information and keep it up to date.

3. Acceptable use

You agree not to use the Service to:

  • Send spam, unsolicited, deceptive, or unlawful messages, or violate the rights of others.
  • Breach the WhatsApp Business Messaging Policy, Meta Platform Terms, or applicable telemarketing/consent laws.
  • Upload content you do not have the right to use, or attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service.

You are responsible for obtaining any consents required to message your leads and for the content you send through the Service.

4. Customer data & AI output

You retain ownership of the data and documents you submit. You grant us a limited licence to process them solely to provide the Service, as described in our Privacy Policy. AI-generated replies can be inaccurate; you are responsible for reviewing AI output and for communications sent from your connected number. Vesma is a tool and does not provide legal, financial, or professional advice.

5. Plans, billing & trials

  • Paid plans are billed in advance on a recurring basis through our payment provider. Usage limits (e.g. monthly messages) apply per plan.
  • Any free trial converts to a paid plan unless cancelled before it ends.
  • Fees are non-refundable except where required by law. We may change pricing with prior notice.

6. Third-party services

The Service integrates with third parties (e.g. Meta/WhatsApp, OpenAI, Razorpay). Your use of those services is subject to their terms, and we are not responsible for their availability or actions.

7. Industry & regulatory compliance

Where you operate in a regulated sector (for example, real estate under RERA), you are solely responsible for ensuring your communications, claims, and disclosures comply with applicable laws and regulations. Vesma provides guardrails (e.g. not inventing prices or legal status) but does not guarantee regulatory compliance of your messaging.

8. Suspension & termination

We may suspend or terminate access for breach of these Terms, non-payment, or to protect the Service or third parties. You may stop using and cancel the Service at any time; certain provisions survive termination.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or fit for a particular purpose.

10. Limitation of liability

To the maximum extent permitted by law, Vesma will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total aggregate liability for any claim is limited to the amounts you paid to us for the Service in the three (3) months before the event giving rise to the claim.

11. Indemnity

You agree to indemnify and hold Vesma harmless from claims arising out of your content, your use of the Service, or your breach of these Terms or applicable law.

12. Changes to these Terms

We may update these Terms; the “Last updated” date will reflect changes. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of India. Subject to applicable law, the competent courts in India shall have jurisdiction.
